PLEASE READ THIS TERMS & CONDITIONS AGREEMENT ("AGREEMENT") CAREFULLY BEFORE USING THE SERVICES OFFERED BY U.S. LAND LINKS, LLC ("LAND LINKS"). BY PURCHASING A MARKETING PLAN FOR ADVERTISING, YOU (“Member”) AGREE TO BECOME BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMENT.

LAND LINKS IS ONLY A VENUE

Overview
Land Links acts as a broadcast service for sellers of property. Through various means, we attract potential land buyers; we are not involved in the actual transaction between buyers and sellers. As a result, we have no control over the quality, safety or legality of the items advertised, the truth or accuracy of the listings, the ability of sellers to sell items, or the ability of buyers to buy items.  We cannot ensure that a buyer or seller will actually complete a transaction.

Because we are not involved in the actual transaction between buyers and sellers, in the event that you have a dispute with one or more users, you release Land Links (and our officers, directors, agents, subsidiaries and employees) from claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes.

We do not control the information provided by other users, which is made available through our system. You may find other user's information to be offensive, harmful, inaccurate, or deceptive. Please use caution, common sense, and practice safe trading when using our site. Please note that there are also risks of dealing with foreign nationals, underage persons or people acting under false pretense.

Please use common sense when purchasing property. Due diligence and inspections are normal and should be part of the purchase of any property. Competent legal counsel should be employed to purchase property or anything of significant value.

Because user authentication on the Internet is difficult, Land Links.com cannot and does not confirm each user's purported identity. We also encourage you to communicate directly with potential trading partners.

You and Land Links are independent contractors, and no agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship is intended or created by this Agreement.

WE AND OUR SUPPLIERS PROVIDE OUR WEB SITE AND SERVICES "AS IS" AND WITHOUT ANY WARRANTY OR CONDITION, EXPRESS, IMPLIED OR STATUTORY. WE AND OUR SUPPLIERS SPECIFICALLY DISCLAIM ANY IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. Some states do not allow the disclaimer of implied warranties, so the foregoing disclaimer may not apply to you. This warranty gives you specific legal rights and you may also have other legal rights which vary from state to state.

Access to Services
Subject to the terms and conditions of this Agreement, Land Links may offer to provide certain services that relate to facilitating the purchase and sale of Internet advertisements by bringing together Internet advertisers and visitors, as described more fully on the Site, and which are selected by Member through the process provided on the Site ("Services"). Land Links may change, suspend or discontinue the Services (or Member's access thereto) at any time, including the availability of any feature, advertisement or content, without notice or liability. Land Links reserves the right, at its discretion, to refuse to allow access to the Services to any applicant at any time. Land Links also reserves the right, at its discretion, to modify this Agreement at any time by posting a notice on the Site, or by sending Member a notice via email or postal mail. Use of the Services by Member following such notification constitutes Member's acceptance of the modified terms and conditions. Member certifies to Land Links that if Member is an individual (i.e., not a corporation) Member is at least 18 years of age. Member also certifies that it is legally permitted to use the Services and access the Site, and takes full responsibility for the selection and use of the Services. This Agreement is void where prohibited by law, and the right to access the Site is revoked in such jurisdictions.

Disclaimers
Member acknowledges and agrees that Land Links has no special relationship with or fiduciary duty to Member and that Land Links has no control over, and no duty to take any action regarding: which users gains access to the Site or Services; what Content Member accesses or receives via the Site or Services; what Content other Members may make available, publish or promote in connection with the Services; what effects any Content may have on Member or its users or customers; how Member or its users or customers may interpret, view or use the Content; what actions Member or its users or customers may take as a result of having been exposed to the Content, or whether Content is being displayed properly in connection with the Services.

* Member releases Land Links from all liability in any way relating to Member's acquisition (or failure to acquire), provision, use or other activity with respect to Content in connection with the Site or Services. The Site may contain, or direct Member to sites containing, information that some people may find offensive or inappropriate. Land Links makes no representations concerning any content contained in or accessed through the Site or Services, and Land Links will not be responsible or liable for the accuracy, copyright compliance, legality or decency of material contained in or accessed through the Site or Services. Land Links makes no guarantee regarding the level of impressions of or clicks on any advertisement, the timing of delivery of such impressions and/or clicks, or the amount of any payment to be made to Member in connection with the Services.

Fees and Payment
Membership to Land Links is free.  Some of our Services require payment of fees. Advertising on Land Links is priced at varying rates depending on the options you choose.  Member shall pay all applicable fees, as described on the Site in connection with such Services selected by Member. Land Links reserves the right to change its price list and to institute new charges at any time, upon prior notice to Member, which may be sent by email or posted on the Site. If Member is past due on any payment to Land Links in connection with the Services, Land Links reserves the right to suspend Member's account until all outstanding payments have been made. MEMBER SHALL NOT RECEIVE A REFUND OR CREDIT FOR EARLY CANCELLATION, PARTIAL MONTHS OR FAILURE TO SUBMIT PROPERTY INFORMATION AFTER PURCHASING SERVICE.

Restrictions
Member (whether an advertiser, user, visitor or otherwise) warrants, represents and agrees that it will not contribute, submit or make available through the Services, or use the Services in connection with, any Content that is infringing, libelous, defamatory, obscene, abusive, offensive or otherwise violates any law or right of any third party. Member shall not, and shall not authorize or encourage any third party to (a) generate fraudulent impressions of or fraudulent clicks on any advertisement, including but not limited to through repeated manual clicks, the use of robots or other automated query tools and/or computer generated search requests, and/or the fraudulent use of other search engine optimization services and/or software; (b) edit, modify, filter or change the order of the information contained in any advertisement, or remove, obscure or minimize any advertisement in any way; (c) redirect an end user away from any Web page accessed by an end user after clicking on any part of an advertisement "Member Page"), provide a version of the Member Page different from the page an end user would access by going directly to the Member Page or intersperse any content between the advertisement and the Member Page; or (d) display any advertisements on any error page, registration or "thank you" page (e.g. a page that thanks a user after he/she has registered with the applicable website). Land Links reserves the right to remove any Content from the Site at any time, or to terminate Member's right to use the Services or access the Site, for any reason (including, but not limited to, upon receipt of claims or allegations from third parties or authorities relating to such Content or if Land Links is concerned that Member may have breached the terms of this paragraph), or for no reason at all, subject to the provisions referenced in the Termination paragraph.

Member is responsible for all of its activity in connection with the Services. Any fraudulent, abusive, or otherwise illegal activity is grounds for termination of Member's right to use the Services or to access the Site. Use of the Site or Services to violate the security of any computer network, crack passwords or security encryption codes, transfer or store illegal material including materials that are deemed threatening or obscene, or engage in any kind of illegal activity is expressly prohibited. Member will not run Mail list, Listserv, any form of auto-responder, or "spam" on the Site, or any processes that run or are activated while the Member is not logged in.

Representations and Warranties
Member represents and warrants that (a) Member is the owner of each advertisement Member designates in connection with the use of Services or that Member is legally authorized to act on behalf of the owner of such advertisement for the purposes of this Agreement, and (b) Member has all necessary right, power and authority to enter into this Agreement and to perform the acts required of Member hereunder. Member further represents and warrants that each of Member's advertisements and any material displayed therein: (1) comply with all applicable laws, statutes, ordinances and regulations; (2) do not breach and have not breached any duty toward or rights of any person or entity including, without limitation, rights of intellectual property, publicity or privacy, or rights or duties under consumer protection, product liability, tort, or contract theories; and (3) are not hate-related in content.

Advertising and Selling
Advertisements may only include text descriptions, graphics and pictures supplied to our site (or that are linked to or from our site) that describe the item for sale.

Without limiting any other remedies, Land Links may suspend or terminate your account if you are found (by conviction, settlement, insurance or escrow investigation, or otherwise) to have engaged in fraudulent activity in connection with our site.

You guaranty, warrant and represent that every piece of information you place in any advertisement on Land Links.com is accurate, true and correct and you guarantee without caveat to its veracity in all forms and parts.

You represent and warrant to Land Links that you have all the rights and licenses and permits under all local, state and national laws to advertise and sell anything you are advertising for sale on Land Links.

Confidentiality
Member agrees not to disclose Land Links Confidential Information without Land Links' prior written consent. "Land Links Confidential Information" includes without limitation: (a) all Land Links software, technology, programming, technical specifications, materials, guidelines and documentation Member learns, develops or obtains that relate to the Services or the Site; (b) statistics relating to Site performance in the Services provided to Member by Land Links; and (c) any other information designated in writing by Land Links as "confidential" or any designation to the same effect. "Land Links Confidential Information" does not include information that has become publicly known through no breach by Member or Land Links, or information that has been (1) independently developed without access to Land Links Confidential Information as evidenced in writing; (2) rightfully received by Member from a third party; or (3) required to be disclosed by law or by a governmental authority.

Indemnity
Member will indemnify and hold Land Links, its parents, subsidiaries, affiliates, officers and employees, harmless, including costs and attorneys' fees, from any claim or demand made by any third party due to or arising out of Member's access to the Site, use of the Services, the violation of this Agreement by Member, or the infringement by Member, or any third party using the Member's account, of any intellectual property or other right of any person or entity.

Limitation of Liability
IN NO EVENT SHALL LAND LINKS BE LIABLE WITH RESPECT TO THE SITE OR THE SERVICES (A) FOR ANY AMOUNT IN THE AGGREGATE IN EXCESS OF THE FEES PAID BY MEMBER THEREFOR; OR (B) FOR ANY INDIRECT, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES OF ANY KIND WHATSOEVER. SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS AND EXCLUSIONS MAY NOT APPLY TO MEMBER.

General
This Agreement shall be governed in all respects by the laws of the State of South Carolina.  We do not guarantee continuous, uninterrupted or secure access to our services, and operation of our site may be interfered with by numerous factors outside of our control. If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced. Headings are for reference purposes only and in no way define, limit, construe or describe the scope or extent of such section. Our failure to act with respect to a breach by you or others does not waive our right to act with respect to subsequent or similar breaches. This Agreement sets forth the entire understanding and agreement between us with respect to the subject matter hereof.

You shall comply with all applicable laws, statutes, ordinances and regulations regarding your use of our service and your bidding on, advertising, purchase, solicitation of offers to purchase, and sale of items.

Any controversy or claim arising out of or relating to this Agreement or our services shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration shall be conducted in Charleston, South Carolina, and judgment on the arbitration award may be entered into any court having jurisdiction thereof. Either you or Land Links may seek any interim or preliminary relief from a court of competent jurisdiction in Charleston, South Carolina necessary to protect the rights or property of you or Land Links pending the completion of arbitration.

Notices
Except as explicitly stated otherwise, any notices shall be given by postal mail to U.S. Land Links, Attn: Legal, 1305-C North Main Street, #153, Summerville, SC 29483.  Notice shall be deemed given 24 hours after email is sent to you at the email address you provided, unless the sending party is notified that the email address is invalid. Alternatively, we may give you notice by certified mail, postage prepaid and return receipt requested, to the address provided to Land Links during the registration process. In such case, notice shall be deemed given 3 days after the date of mailing.

Copyright Disputes and Privacy Policy
If Member believes that material or content residing on or accessible through the Site or Services infringes a copyright. Please also review Land Links' Privacy Policy for information regarding Land Links' policies and practices regarding the use of Member personal information.

Registration and Security
As a condition to using Services, Member may be required to register with Land Links and select a password and Member name ("email address or User ID"). Member shall provide Land Links with accurate, complete, and updated registration information. Failure to do so shall constitute a breach of this Agreement, which may result in immediate termination of Member's account. Member may not (i) select or use as an email address or User ID a name of another person with the intent to impersonate that person; (ii) use as an email address or User ID a name subject to any rights of a person other than Member without appropriate authorization; (iii) register for the Services using more than one User ID. Land Links reserves the right to refuse registration of, or cancel a User ID in its discretion. Member shall be responsible for maintaining the confidentiality of Member's Land Links password.

Information Rights
Land Links may retain and use for its own purposes all information Member provides, including but not limited to contact and billing information. Member agrees that Land Links may transfer and disclose to third parties personally identifiable information about Member for the purpose of approving and enabling Member's participation in the Services, including to third parties that reside in jurisdictions with less restrictive data laws than Member's own jurisdiction. Land Links disclaims all responsibility, and will not be liable to Member, however, for any disclosure of that information by any such third party. Land Links may share aggregate (i.e., not personally identifiable) information about Member with advertisers, business partners, sponsors, and other third parties. Additionally, Member grants to Land Links a non-exclusive license to republish in any medium advertisements, web pages, banners, interstitials or other content for purposes of marketing Land Links products and Services.

Your Information
"Your Information" is defined as any information you provide to us or other users in the registration, bidding or listing process, in any public message area or through any email feature. You are solely responsible for Your Information, and we act as a passive conduit for your online distribution and publication of Your Information. With respect to Your Information:

Your Information (or any items listed therein): (a) shall not be false, inaccurate or misleading; (b) shall not be fraudulent or involve the sale of counterfeit or stolen items; (c) shall not infringe any third party's copyright, patent, trademark, trade secret or other proprietary rights or rights of publicity or privacy; (d) shall not violate any law, statute, ordinance or regulation (including without limitation those governing export control, consumer protection, unfair competition, antidiscrimination or false advertising); (e) shall not be defamatory, trade libelous, unlawfully threatening or unlawfully harassing; (f) shall not be obscene or contain child pornography or be harmful to minors, and if so shall be distributed only to people legally permitted to receive such content; (g) shall not contain any viruses, Trojan horses, worms, time bombs, cancelbots or other computer programming routines that are intended to damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or personal information; (h) shall not create liability for us or cause us to lose (in whole or in part) the services of our ISPs or other suppliers; and (i) shall not link directly or indirectly to or include descriptions of goods or services that: (aa) are prohibited under this Agreement; (bb) are identical to other items you have up for auction but are priced lower than your item's reserve or minimum bid amount; or (cc) you do not have a right to link to or include.

Furthermore, you may not list any item on our site (or consummate any transaction that was initiated using our service) that, by paying to us the listing fee or the final value fee, could cause us to violate any applicable law, statute, ordinance or regulation.

Solely to enable Land Links to use the information you supply us with, so that we are not violating any rights you might have in that information, you agree to grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sub licensable (through multiple tiers) right to exercise the copyright and publicity rights (but no other rights) you have in Your Information, in any media now known or not currently known, with respect to Your Information.

Termination
Either party may terminate the Services at any time by notifying the other party by any means. Land Links may also terminate or suspend any and all Services and access to the Site immediately, without prior notice or liability, if Member breaches any of the terms or conditions of this Agreement. Any fees paid hereunder are non-refundable and non-cancelable. Upon termination of the Member's account, Member's right to use the Services will immediately cease. All provisions of this Agreement which by their nature should survive termination shall survive termination, including, without limitation, warranty disclaimers, and limitations of liability.

Miscellaneous
The failure of either party to exercise in any respect any right provided for herein shall not be deemed a waiver of any further rights hereunder. Land Links shall not be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond Land Links' reasonable control. If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect and enforceable. This Agreement is not assignable, transferable or sub-licensable by Member except with Land Links' prior written consent. This Agreement shall be governed by and construed in accordance with the laws of the state of South Carolina without regard to the conflict of laws provisions thereof. Both parties agree that this Agreement is the complete and exclusive statement of the mutual understanding of the parties and supersedes and cancels all previous written and oral agreements, communications and other understandings relating to the subject matter of this Agreement, and that all modifications must be in a writing signed by both parties, except as otherwise provided herein. No agency, partnership, joint venture, or employment is created as a result of this Agreement and Member does not have any authority of any kind to bind Land Links in any respect whatsoever.

Breach
Without limiting other remedies, we may immediately issue a warning, temporarily suspend, indefinitely suspend or terminate your membership and refuse to provide our services to you: (a) if you breach this Agreement or the documents it incorporates by reference; (b) if we are unable to verify or authenticate any information you provide to us; or (c) if we believe that your actions may cause legal liability for you, our users or us.

Access and Interference
You agree that you will not use any device, software or routine to interfere or attempt to interfere with the proper working of the Land Links site or any auction being conducted on our site. You agree that you will not take any action that imposes an unreasonable or disproportionately large load on our infrastructure. Much of the information on our site is updated on a real time basis and is proprietary or is licensed to Land Links by our users or third parties. You agree that you will not copy, reproduce, alter, modify, create derivative works, or publicly display any content (except for Your Information) from our website without the prior expressed written permission of Land Links or the appropriate third party.

You agree to this Agreement and also agree not to provide any other person a link to Land Links or its sub-pages such that that person avoids seeing or agreeing to this Agreement.
